BYLAWS


Article I. Name


The name of this organization shall be the WKAR Public Media Community Advisory Board, hereafter known as the Board.

Article II. Purpose and Duties


The purpose of the Board is to reflect and communicate the needs and the interests of the community to station management. The duties include advising station management on such topics as general station policy and programming goals; heightening community awareness through active outreach initiatives; advocating for broad-based support of WKAR; identifying and encouraging new sources of funding to sustain, to improve and expand service to the community; reviewing and advising on legislation designed to improve the quality of public telecommunications; and considering other responsibilities as requested by station management.

Article III. Membership


Number, Manner of Selection, Terms of Office, Vacancies:

1. The Board shall be composed of at least fourteen (14) and no more than eighteen (18) persons and two (2) students, up to age of 27, who are enrolled in a degree-granting program during their term(s) of service, during the period when the Board holds its meetings and who reflect the diverse needs and interests of the communities served by WKAR Public Media.

2. Members will be elected to three-year terms by the Board. No Board member may serve for more than two consecutive three-year terms.

3. Student members will be elected by the Board to serve a one-year term renewable if they continue to meet all the criteria as a student board member. Student members may serve no more than three consecutive one year terms.

4. The Nominating Committee shall meet three months prior to the final meeting of the year. It shall be chaired by the Vice Chairperson or his or her designee and consist of at least three additional Board members appointed by the Chairperson. The Committee shall solicit names from Board members and other sources.

5. The official year of the Board shall be from July 1 to the following June 30. At the final meeting of the year (June), the Nominating Committee shall present a slate of candidates for nomination and election to Board membership.

6. Vacancies during the year may be filled by nomination from the Chairperson and a majority vote of the total Board.

7. Failure to meet the regular meeting attendance requirements and participation in membership fundraising campaigns outlined in Article VI may result in dismissal from the Board. Board members may request a leave of absence for up to 6 months.

Article IV. Officers


There shall be a Chairperson and a Vice-Chairperson of the Board elected annually by a majority vote of the total Board for a maximum of two one-year terms. The Nominating Committee shall submit a slate for nomination of the Chairperson and Vice-Chairperson for election at the final meeting of the year. It is anticipated, but not required that the Chairperson will serve consecutive terms and the Vice Chair will assume the Chair position immediately thereafter. Both the Chair and Vice Chair serve at the pleasure of the Board.

Article V. Committees


There are two standing committees of the Board and each member is expected to serve on at least one.

1. Nominations: The Nominations committee is responsible for identifying new members for the Board. The committee will meet, unless otherwise directed, three months prior to the final meeting of the Board to determine a slate of candidates and officers to be presented to and elected by a majority of the Board. The Nominations committee is responsible for working with staff for orientation of new Board members prior to the first meeting of the year. The committee also solicits feedback on the orientation from new Board members and updates Board member materials.

2. Outreach: The Outreach committee is responsible for working with staff to help increase awareness of WKAR and the Community Advisory Board. The committee is also responsible for working with staff to develop and implement a community relations plan that increases visibility of the station and the Board.

Additional committees or sub-committees may be appointed on an ad hoc or standing committee basis by the Board.

Article VI. Meetings


1. There shall be at least six meetings of the Board held each year.

2. One-third of the members of the Board shall constitute a quorum.

3. Each Board member is expected to attend at least four of the Board's six regular meetings and participate in at least two membership fundraising campaigns each year (July -June).

Article VII. Parliamentary Authority


The rules contained in Robert's Rules of Order, Newly Revised shall govern the Board in all cases to which they are applicable and in which they are not inconsistent with these bylaws.

Article VIII. Amendments


These bylaws may be amended by a two-thirds vote of the total Board. Proposed amendments shall be sent to Board members 14 days in advance of any meeting at which they are to be voted upon.
